PartyaandPartyB,uponequalconsultation,herebyagreetoconcludeandenterintothetermsandconditionsasbelowforjointcomplianceinaccordancewiththeLaborLawofthePeople'sRepublicofchinaandrelevantrulesandregulations.
一、工作合同期限contractTerm
第一条本合同为壹年期限合同。

二、工作内容Jobdetails

第三条乙方工作应达到国内相关职业要求管理标准，并能完成公司所安排合理的工作要求。

三、工作保护和条件workingProtectionandworkingconditions
第四条原则上执行标准工时制度，乙方每日工作时间8小时，每周工作40小时。

第五条因设计工作的特殊性，如项目要求需要加班，不计加班费。clause5anyextrahourworkedbyPartyBforprojectneedastheresultofspecialfeatureofdesignworkshallnotbecharged.
第六条甲方为乙方提供必要的工作条件，建立健全工作方式，制订工作规范和工作制度。
clause6PartyashallprovidenecessaryworkconditionsforPartyB,establishsoundworkmode,andformulatejobspecificationandsystem.
四、劳动报酬LaborRemuneration
第七条甲方每月18日前以货币形式支付乙方工资，每月实发工资税后为元。

五、福利待遇welfareandBenefits
第乙方患病或非因工负伤的医疗待遇按国家、北京市有关规定执行。甲方按XXX管理制度支付乙方病假工资。

第十条甲方为乙方提供以下福利待遇：详则见XXX管理制度。clause10PartyashallenablePartyBtobeentitledtothefollowingwelfareandbenefits:refertoXXXmanagementsystemfordetails.
六、合约的变更、解除contractalternationandcancellation
第十一条有下列情形之一的，甲乙双方应变更合同并及时办理变更合同手续：
clause11PartyaandPartyBshallalterthiscontractandpromptlygothroughcontractalternationproceduresifanyofthefollowingcircumstanceshappens:
（一）甲乙双方协商一致的；PartyaandPartyBreachanagreementonalternationuponnegotiation;
（二）订立本合同所依据的客观情况发生重大变化，致使本合同无法履行的；Theperformanceofthiscontractisrendereddiscontinuedbythesubstantialchangeofobjectivecircumstanceswhichtheconclusionofthiscontractisreliedupon;
（三）订立本合同所依据的法律法规、规章发生变化的。Laws,rulesandregulationsuponwhichtheconclusionofthiscontractisrelied
change.
第十二条乙方有下列情形之一的，甲方可以解除本合同：
clause12Partyashallbeentitledtocancelthiscontractinanyofthefollowingcircumstances:
（一）在试用期间被证明不符合录用条件的；PartyBisproven
duringtheprobationaryperiodnottosatisfytherequirements
ofemployment;
（二）严重违反劳动纪律或者甲方利益造成重大损害的；Party
Bmateriallyviolateslabordisciplinesorcausessubstantial
damagetoPartya’sinterests;
（三）严重失职，营私舞弊，对甲方利益造成重大损害的；Party
Bseriouslyneglectshisduty,engagesinmalpracticefor
selfishendsandbringssignificantdamagetoPartya’s
interests;
（四）被依法追究刑事责任的。PartBisbeinginvestigatedfor
criminalliabilityinaccordancewiththelaw.
第十三条有下列情形之一的，甲方可以解除本合同，但应当提前30日以书面形式通知乙方：
clause13Partyamaydissolvethiscontractbygivingathirty-daypriorwrittennoticetoPartyBifanyofthefollowingcircumstanceshappens:
（一）乙方患病或者非因工负伤，医疗期满后，不能从事原工作也不能从事由甲方另行安排的工作的；PartyBisincapableofperforminghisoriginalworkandanynewjobasarrangedbyPartyaafterthestipulatedperiodofmedicalleaveforanillnessornon-work-relatedinjuryexpires;
（二）乙方不能胜任工作，经过培训或者调整工作岗位，仍不能胜任工作的；PartyBisincompetentandremainsincompetentaftertrainingoradjustmentofhisposition;
（三）本合同订立时所依据的客观情况发生重大变化，致使本合同无法履行，经甲方双方协商不能就变更工作合同达成协议的。amajorchangeintheobjectivecircumstancesonwhichtheconclusionofthiscontractisreliedhinderscontinuedperformanceofthiscontract,andafterconsultation,PartyaandPartyBareunabletoreachanagreementonamendingthiscontract.
第十四条甲方濒临破产进行法定整顿期间或者生产经营状况发生严重困难，符合裁减人员条件的，甲方可以解除合同。

6.技术要求与货物检验条款
6.1本合同产品标准按卖方提供的产品标准.
卖方负责向买方随箱提供产品使用说明等相关材料.
6.2货物质量符合本合同及货物制造商技术标准.6.3如果在货物质量、数量方面出现差异，买方应于货到目的地之日起30日内以进口国有关机构出具的有效证书向卖方提出。买方未在规定时间内提出异议,则视为卖方货物符合合同的约定.买方对运输中货物或邮递机构负责,卖方不负任何责任.尽管有上述规定,但双方在本合同中另有约定的除外.
7.索赔与质保7.1质量保证.
7.1.1卖方承诺其货物无设计及材料上的缺陷.7.1.2产品保质期贰年，保质期内如有问题，包赔损失
7.1.3如果因买方未按操作说明书中的要求使用而引起的问题卖方不负责任。（系统中禁止有酸、碱、油）
7.2不可抗力:
若发生不可抗力事件(如:战争、内乱、封锁、地震、火灾、水灾等。)以及任何双方未能预见并且对某发生后果不能防止或避免的意外事故妨碍或干扰了本合同的履行时,发生不可抗力的一方应在事件结束后的30日内将有关机构出局的不可抗力事件的证明寄交对方,据此证明豁免责任,并由双方协商中止或继续履行合同事宜.

6.Technicalrequirementsandinspectionprovisions6.1.Thestandardmentionedinthiscontractissubjecttotheonethesellerprovided.
6.2.Thequalityiscoformtothecontractandthemanufactor'stechnicalstandard.
6.3.ifthereisdiscrepencyinqualityandquantity,thebuyershouldinformthesellerwitheffectivecertificatesissuedbytheimportcountrywithin30daysafterthecargoarrivedthedestination.ifthebuyerdoesn'traiseanyobjectionsinspecifiedtime,thecargoisregardedconformtothecontract.Thebuyerisresponsibleforthecargointransportatonandtheexpressagency,thesellerhasnoresponsibilityonit,exceptthereisacertainterminthecontract.
7.claimsandQualityassurance7.1Qualityassurance
7.1.1Thesellerpromisetheproductshasnodefectsindesignandmeterial.
7.1.2Twoyearsguaranteefortheproduct,ifyouhaveanydamagescausedbythequality,Pleaseclaimtous.
7.1.3.Thesellerdoesn'tresponsiblefortheproblemscausedbecausethebuyerdoesn'tfollowtheoperationmanual.(it'sforbiddenforacid,soda,oilinthesystem)
7.2Forcemajeure;
incaseofforcemajeure,suchaswar,civildisturbance,blockade,earthquake,fire,flood,etc.aswellasanyotherunforeseenaccidentthatcausedtheSellersfailtodeliverthecontractedgoodsoreffectshipmentmightbedulyextended,oralternativelyapartorwholeofthecontractmightbecancelledwithoutanyliabilityattachedtotheSellers;buttheSellershavetofurnishtheBuyerswithacertificateissuedbytheauthorityattestingsuchevent(s)within30daysaftertheevent(s)end.
7.3迟延交货
除了本合同第7.2条不可抗力原因外,如卖方不能按照合同规定的时间交货而引起买方的损失,买方会考虑接受卖方在支付罚款的条件下延期交货,罚款率按每天0.05%计算,不足1天时以1天计算,但罚款不得超过迟交货物总价的5%,但因船期或者买方迟付款原因导致交货延期,卖方不负任何责任.wherebyproofexemptionfromliability.Thetwopartiesnegotiateifcontinuethecontractmatters

8.仲裁
本合同执行过程中双方产生分歧时,应该本着友好协商的方式解决.如果协商不能取得满意的结果时,则应提交在中国北京的中国国际经济贸易仲裁委员会仲裁,并依据申请仲裁时现行的仲裁规则进行.该仲裁为终局裁决,对双方均有约束力.
9.其他条款
9.1合同自双方法定代表签字后生效,直至双方责任完全结束为止.
9.2任何对此合同的修改补充,只有以书面形式经双方法人签字后方生效.
9.3本合同的附件与本合同具有同等法律效力。传真件与原件具有同等效力。
9.4任何一方在未经对方同意下均无权将本合同项下权利及义务转让.
9.5本合同一式两份,均具有相同法律效力。中英文如有异议，以中文为主。

9.otherprovisions
9.1Thecontractshalltakeeffectafterthesigningofthelegalrepresentativesofbothparties,endwhenthetwopartiesfullycompletingtheirresponsibilities.
9.2.anymodificationsorsupplymenttothiscontract,shouldinformtheotherpartyinwritingform.onlyafterthetwopartiessignedcanittakeeffect.
9.3Theannexhasthesamelegaleffectwiththecontract.andthefaxhasequallyauthenticwiththeoriginal.
9.4.anypartyofthiscontracthavenorighttotransfertherightsandobligationstootherswithouttheotherparty'sagreement.
